(the “Company”) is hereby furnishing this report on Form 6-K (the “Report”) to provide a press release dated August 25, 2026 announcing NYSE American listing qualifications panel’s decision to affirm the commencement of delisting proceedings against the Company and the Company’s intention to request for committee review on or before September 4, 2026, which is included as Exhibit 99.1 to this Report.
